Digital infrastructure and fintech company Zeta Network Group (NASDAQ: ZNB) announced it has entered into a securities purchase agreement with institutional investors to issue up to $10 million in senior convertible promissory notes and warrants at a 10% original offering discount. The initial closing of the offering involves $6 million in promissory notes and is expected to generate $5.4 million in gross proceeds for the company, with a closing date set for approximately March 12, 2024. This date also coincides with the company's previously announced 1:100 share consolidation on Nasdaq. The promissory notes are non-interest-bearing and immediately convertible into Class A ordinary shares upon issuance. A second closing for the remaining portion is expected no earlier than May 12, 2024. Zeta Network Group is currently developing an institutional finance platform centered on Bitcoin, encompassing digital asset financial management, Bitcoin liquidity aggregation, and sustainable mining.
