Bitcoin Miner Hut 8 to Merge with US Bitcoin Corp in All-Stock Merger of Equals

Bitcoin mining company Hut 8 will merge with US mining company and high-performance computing infrastructure provider US Bitcoin Corp (USBTC) in an all-stock merger of equals, and the merged company will be named Hut 8 Corp. (New Hut) , and will be a registered entity in the United States. New Hut has filed a further amendment to its registration statement on Form S-4 (amended registration statement) with the Securities and Exchange Commission (SEC). The statement disclosed that the pre-mining hashrate at New Hut’s Medicine Hat and Drumheller mining facilities in Alberta had increased to 7.5 EH/s from the previously disclosed 7.02 EH/s as previously reported by Foresight News, Feb. 7 , Hut 8 Mining Corp. announced that the boards of directors of the US mining company and high-performance computing infrastructure provider US Bitcoin Corp (USBTC) have each announced their agreement to approve a definitive business combination agreement, and the combined company will be Hut 8 Corp.
