Saxo Bank Fined HK$4 Million For Allowing Retail Clients To Trade Complex Crypto Products

Saxo Capital Markets Hong Kong has been reprimanded and fined HK$4 million (around US$514,000) by the Securities and Futures Commission (SFC) for offering virtual asset products to retail clients that were intended only for professional investors.

The regulator found that between 1 November 2018 and 25 November 2022, Saxo’s local unit executed 1,446 transactions involving 32 virtual asset products for six individual professional investors and 130 retail clients.

All of these products were considered complex, including 21 exchange-traded derivative instruments.

How Did Retail Clients Gain Access To Professional Products

The SFC noted that Saxo did not assess whether clients understood the risks of investing in virtual assets, nor did it provide sufficient product-specific information or warnings.

For exchange-traded derivative products, 87 clients—including 82 retail investors—were allowed to trade without proper assessment of their derivatives knowledge.

The Hong Kong unit had no dedicated procedures for virtual asset due diligence during this period.

Instead, it relied on group-wide protocols from its Danish parent to identify products with virtual asset exposure.

Due to gaps in these protocols, the 32 products were not flagged and were made available to retail clients until the issue was identified by the parent company in November 2022.

Why Were These Trades Restricted

At the time, the SFC restricted most virtual asset products to professional investors because of their volatility and complexity.

Firms distributing such products were expected to implement strict eligibility checks, provide enhanced risk disclosures, and assess clients’ knowledge.

The regulator highlighted that online distribution, due to its scale, required automated safeguards to prevent ineligible access—standards Saxo Hong Kong failed to meet.

How Group Controls Failed

A key factor was Saxo’s reliance on centralised systems rather than local oversight.

The group-wide protocols did not flag the virtual asset products, and the Hong Kong unit did not have its own detailed review process.

This oversight allowed retail clients to trade freely on the platform without the required checks or warnings, and the lapse continued for over four years.

Regulatory Findings And Actions Taken

The SFC concluded that Saxo breached the Guidelines on Online Distribution and Advisory Platforms and the Code of Conduct by failing to supervise its platform and ensure suitability for complex virtual asset transactions.

The regulator noted that Saxo self-reported the misconduct, cooperated fully, compensated affected clients, and has ceased regulated activities in Hong Kong.

The company also had a clean disciplinary record prior to this case.

What Saxo Is Doing Now

Saxo, which closed its Hong Kong and Shanghai offices and consolidated operations across Asia Pacific, is reportedly exploring a sale.

Investors such as Altor Equity Partners, Centerbridge Partners, and Interactive Brokers Group have expressed interest in the Danish broker.

Last year, Saxo sold over 80 per cent of its Australian unit to a South African tech firm, reflecting its broader restructuring strategy.

The case highlights that even when relying on parent-level systems, licensed firms remain responsible for ensuring local compliance, particularly when offering high-risk products to clients.
