According to official news, Rio Platforms announced that it had reached a settlement agreement with Bitfarm, according to which:
(i) Andrés Finkielsztain will resign from the company's board of directors;
(ii) Amy Freedman was appointed as a member of the board of directors, the governance and nomination committee and the board's compensation committee, and will be appointed as a member of the "Special Committee" of independent directors of the board of directors currently or as may be formed from time to time, provided that she is independent within the scope of the tasks of the "Special Committee";
(iii) Riot has withdrawn its request to convene a special meeting of the company's shareholders.
Before and after the signing of the agreement, Riot beneficially owned 90,110,912 common shares of Bitfarms, accounting for approximately 19.9% of the issued and outstanding common shares (calculated based on information provided by the company).
